Fellowship Terms and Conditions

​

I. LARUS’S PROVISIONING

 

A. Provides suitable arrangement of the Fellowship Program and the Meeting.

 

B. Provides information and background of the Meeting.

 

C. Provides air tickets and accommodation for traveling.

 

D. Provides stipend for Fellow subject to terms and conditions herein.

 

E. Responsible for registration fee of the Meeting and the policy discussion sessions. LARUS’s obligations to provide the said

Fellowship Program and payments are at all times subject to the terms and conditions and Fellow’s performance hereunder.


 

II. FELLOW’S OBLIGATIONS

 

A. Successfully completes the Fellowship program and assigned tasks.

B. Participates in the Meeting, its policy discussion sessions and other activities.

​

C. Fellow must attend all relevant sessions of meeting, including policy development, policy oriented workshops, members meetings, etc.

​

D. Fellow is expected to meaningfully participate in the meeting, not just sit in the room. This can include voicing opinions, responding to comments, participation in “hallway conversations”, and otherwise engaging with other attendees in an appropriate manner.

E. Participates fully in the Meeting activities. Some activities occur in non-normal office hours. Attendance at these activities is considered part of the responsibilities of the Fellowship Program.

F. Adheres and conforms to established practices, procedures and policies of the Meeting.

​

G. At all times, Fellow will act in a manner which is consistent with the standards of decorum and good collegial behavior. Fellow will not engage in ad hominem or make comments in the nature of an attack or threat. Fellow will refrain from any expressions of racism, gender inequality, or derogatory comments about race, gender, sexual orientation, or other personal attributes of other attendees.

H. Provided necessary information for LARUS for the registration of the Meeting policy discussion sessions and events.

​

I. Within 30 days after conclusion of the meeting, will provide to LARUS a summary report of the proceedings attended and Fellow’s general perception of the meeting and sessions attended. Fellow will also provide feedback on the nature of and his/her experience with the Fellowship Program itself, especially any areas Fellow feels can be improved.

 

J. LARUS’s intellectual property rights (including but not limited to agreements, documents, software, databases, website) may only be used, reproduced and made available to third parties upon prior written authorization from LARUS.

 

K. Complies with reasonable requests from LARUS in order to facilitate Fellow’s participation (e.g. cooperates in travel arrangements, provides relevant personal information on request, etc.).


 

III. FELLOWSHIP STIPEND

 

Fellowship stipend is offered to Fellow in accordance with Appendix A.


 

IV. DUTY HOURS

 

Due to the nature of the Meeting, activities may be beyond the normal office hours. The Fellow shall attend to these activities as needed or required by LARUS.


 

V. TERMINATION

 

A. This Terms and Conditions may be terminated prior to its expiration for reasons stated in this Terms and Conditions.

 

B. This Terms and Conditions may be terminated if:

       a. the Meeting is cancelled by its organizer; or

       b. LARUS decides not to participate in the Meeting

 

C. LARUS may terminate this Terms and Conditions immediately and without notice in the event Fellow is convicted of a serious misdemeanor or felony or enters a plea of no contest (nolo contendere) to same, or is charged with serious misbehavior in any forum of any type where inimical to the Fellowship Program or LARUS standards (in the sole determination of LARUS) before or during the term of this Terms and Conditions.


 

VI. GENERAL PROVISIONS

 

A. The rights and obligations of LARUS under this Terms and Conditions shall inure to the benefit and be binding upon the successors and assigns of LARUS. The Fellow may not assign or transfer his/her rights or obligations under this Terms and Conditions, and any assignment or transfer made in violation of this provision shall be void.

 

B. This Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Hong Kong,China SAR. The parties hereby agree to make their best efforts to reach an amicable settlement, provided that the parties have failed to seek such amicable solution hence then either Party may refer the dispute to court and for this purpose, the parties hereby choose as their domicile, the Hong Kong,China International Arbitration Center.

 

C. The Section headings in this Terms and Conditions are for reference only and shall not affect the interpretation or meaning of any provision of the Terms and Conditions.

 

D. No delay or omission by either party to exercise any right or remedy under this Terms and Conditions shall be construed to be either acquiescence or the waiver of the ability to exercise any right or remedy in the future. Any waiver of any terms and conditions herein must be in writing, and signed by the parties hereto. A waiver of any term or condition shall not be construed as a future waiver of the same or any other term or condition hereof.

 

E. This Terms and Conditions is the final and entire agreement between the parties with respect to the subject matter set forth herein, and supersedes all prior agreements, understandings, representations, and statements, whether oral or written. Neither this Terms and Conditions nor any provisions hereof may be modified or amended unless in an instrument signed by both parties.

 

F. If any provision of this Terms and Conditions is held illegal or unenforceable in a judicial proceeding, such provision shall be severed and shall be inoperative, and provided that the fundamental terms and conditions of this Terms and Conditions remain legal and enforceable, the remainder of this Terms and Conditions shall remain operative and binding on the parties. Fellow hereby accepts and agrees to the terms and conditions of this Terms and Conditions.


 

Appendix A

 

Upon Fellow’s successful completion of the Fellowship Program to LARUS’s satisfaction, LARUS will offer Fellow a stipend (“Stipend”), contingent upon Fellow’s attendance at the Meeting and participation in necessary activities related to the Fellowship Program. The final decision of the disbursement of the Stipend is subject to LARUS’s sole discretion.

 

Details of Stipend:

 

Value of Stipend: there are two parts that form the total value of Stipend as the followings. First Part (Advanced payment): in the form of airfare, hotel, and other transportation costs for the Meeting paid up front by LARUS.

 

Second Part (Stipend): the remainder will be paid after the Meeting. The value is in the range between $x and $x. Stipend payment is contingent on Fellow’s attendance and participation and conformance to the Fellowship terms and conditions herein. LARUS’s judgment of Fellow’s participation shall be final and binding on the parties.

At LARUS’s sole discretion, in the event that Fellow fails to actively participate in the Fellowship Program and the Meeting or violates this Terms and Conditions, the Stipend will not be offered. In addition, LARUS is entitled to seek indemnity for all costs paid up front by LARUS and any costs of collecting such compensation, including but not limited to court costs, collection costs, and attorney fees.
